Your use of the Service includes issuing vouchers to third parties to send You files via the Application. You are responsible for each third party\u2019s use of the Service who is authorised by You. You must not issue a voucher to a person under 16 years of age.\n      <\/li>\n      
\n        You must have an Account to use the Service and You are responsible for the information provided to create the Account. You must not share your login details for the Account with any other person and at all times keep confidential and secure, your login details. If You become aware of any unauthorised use of your login details and\/or access to your Account, you must notify APL as soon as possible. APL is not obliged to provide You with a new Account.\n      <\/li>\n      
\n        As a condition of entering into this Agreement, You must provide and maintain a valid email address associated with your Account that is regularly monitored for the purpose of receiving communications from APL. You agree that APL will use this email address for the purpose of sending all communications under this Agreement. It is your responsibility to inform APL of any changes to the email address.\n      <\/li>\n      
\n        APL may modify the Service from time to time. If You do not accept the modifications to the Service, You may stop using the Service and terminate this Agreement under clause 5.\n      <\/li>\n      
\n        The Service may be unavailable from time-to-time. APL will not be liable for any disruption or loss You may suffer as a result of a planned or unscheduled outage. In the event of an outage, You may not be able to access any of Your Materials.\n      <\/li>\n      
\n        The Service involves temporary storage of Your Materials for a limited period. You may use the default period (as determined by APL from time to time) or select a shorter period in which Your Materials will be accessible to third parties (Accessibility Period).<\/b> The Service is not a data storage service, and You must not use the Service as such. You acknowledge that APL does not back up Your data. You must use alternative means to store your data. You acknowledge and understand that Your Materials will be deleted at the end of the Accessibility Period and APL will be unable to provide you with a copy of Your Materials after the Accessibility Period has expired.\n      <\/li>\n      
\n        APL does not make any representations or warranties, whether express or implied about:\n        \n          \n            the security and safety of the Service;\n          <\/li>\n          
\n            the suitability of the Service for your requirements or for the use or storage of confidential or sensitive personal identifying information; or\n          <\/li>\n          
\n            that Your Materials will not be lost or corrupted during Your use of the Service;\n          <\/li>\n        <\/ol>\n        and to the extent permitted by law, expressly excludes any liability, howsoever arising, regarding the loss or corruption of Your Materials or the storage of Your Materials. You agree that the use of the Service is at your risk.\n      <\/li>\n      
\n        You expressly agree to comply with APL\u2019s Content Policy as if You were the \u201cCustomer\u201d as set out in that policy. In particular, You agree that You will not, and will not allow, the Service to be accessed and\/or used, or be allowed to be accessed and\/or used:\n        \n          \n            in a manner that breaches section 2.1 of the Content Policy;\n          <\/li>\n          
\n            to infringe another person\u2019s rights (including that person\u2019s intellectual property rights);\n          <\/li>\n          
\n            to store, publish, communicate or transmit Materials that were obtained or procured by You illegally or unlawfully;\n          <\/li>\n          
\n            to store, communicate or transmit any Harmful Code;\n          <\/li>\n          
\n            to transmit, publish or communicate any defamatory, offensive, abusive, indecent or menacing Material; or\n          <\/li>\n          
\n            to violate or infringe any duty or obligation owed to any person under law.\n          <\/li>\n        <\/ol>\n        You expressly agree that you have or you have obtained all required consents, authorisations and the like for any materials you transmit or store on the Service.\n      <\/li>\n      
\n        Should You breach clause 2(h), APL may take any action it deems reasonable, including but not limited to, deletion of all or some of Your Materials as well as your Account. APL may in its absolute discretion, report You to Your Organisation or law enforcement authorities.\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Intellectual Property Rights\n    \n      \n        All intellectual property rights, title and interest in 'FileSender' are the property of AARNet Pty Ltd, Belnet, HEAnet Limited, SURFnet, UNINETT AS.\n      <\/li>\n      
\n        Neither the name of AARNet Pty Ltd, Belnet, HEAnet Limtied, SURFnet and UNINETT AS nor the names of its contributors may be used to endorse or promote products derived from FileSender without specific prior written permission.\n      <\/li>\n      
\n        Except as expressly otherwise mentioned, this Agreement does not grant:\n        \n          \n            APL or any third party any intellectual property rights in Your Materials; and\n          <\/li>\n          
\n            You any intellectual property rights in FileSender or the Application.\n          <\/li>\n        <\/ol>\n      <\/li>\n      
\n        APL will not access Your Materials except as required by law.\n      <\/li>\n      
\n        You warrant that You have all rights to use, copy and transmit Your Material.\n      <\/li>\n      
\n        You must not, and must not permit any third party to:\n        \n          \n            circumvent or bypass any technological protection measures in or relating to the Service;\n          <\/li>\n          
\n            disassemble, decompile, decrypt, hack, reverse engineer or emulate any aspect of the Service or Application;\n          <\/li>\n          
\n            publish, rent, copy, lease, sell, export, import, distribute, or lend the Service, unless APL expressly authorises You to do so;\n          <\/li>\n          
\n            transfer any rights to access or use the Service unless APL expressly authorises You to do so; or\n          <\/li>\n          
\n            use the Service in an authorised way that could interfere with anyone else\u2019s use of the Service or access to any service, data, account, or network.\n          <\/li>\n        <\/ol>\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Privacy\n    \n      \n        APL collects your Personal Information in order to provide you with the Service and communicate any changes to the Service and any other products and services that we think may be of interest to you. We may disclose the Personal Information we collect about You to the Organisation through whom you become eligible to access the Service or as required by law. APL\u2019s Privacy Policy can be found at https:\/\/www.aarnet.edu.au\/about-us\/policies\/<\/a> and it also explains how to seek access to and request correction of the Personal Information we hold about You, how to make a complaint, and how we handle complaints. If You choose not to provide us with some or all of the Personal Information we request about You, You may not be able to log in or access the Service.\n      <\/li>\n      
\n        You further acknowledge that APL stores such Personal Information solely as a data processer in order to provide the Service to You and You maintain effective control of any Personal Information contained in Your Materials.\n      <\/li>\n      
\n        APL does not warrant that the Service is suitable for sending highly sensitive or personally identifiable information and the Service must not be used for sending such information.\n      <\/li>\n      
\n        You consent to APL retaining information relating to personal information data transactions should APL be required under domestic and\/or international law to retain such information. Should you be subject to international law, APL will comply with any request to remove or delete your personal information in line with relevant legislative requirements in effect from time to time.\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Term and Termination\n    \n      \n        This Agreement will remain in effect until the Agreement is terminated under this clause 5 or under any other clause of this Agreement or if You are no longer authorised under AAF.\n      <\/li>\n      \n        APL may terminate this Agreement immediately if:\n        \n          \n            You are in breach of the Agreement and fail to remedy that breach within 10 days of receipt of written notification from APL;\n          <\/li>\n          
\n            You have breached clauses 1(b), 2(h) and 3(e);\n          <\/li>\n          
\n            You have been inactive for 365 days.\n          <\/li>\n        <\/ol>\n      <\/li>\n      
\n        You may terminate this Agreement by sending a request to APL to delete Your Account. APL may terminate this Agreement by providing You with 14 days\u2019 written notice or if Your account has been inactive for 365 days (or such other time as APL reasonably determines in its sole discretion).\n      <\/li>\n      \n        APL may also suspend your use of the Service in the event:\n        \n          \n            your use of the Service could disrupt the Service or other users use of the Service, the AARNet or servers used to provide the Service;\n          <\/li>\n          
\n            of a third party claim that any part of Your Materials infringes the intellectual property rights of a third party;\n          <\/li>\n          
\n            in the event of any security concerns regarding the Service; or\n          <\/li>\n          
\n            unauthorised third party access to the Service.\n          <\/li>\n        <\/ol>\n        If APL suspends the Service for any reason without prior notice to You, APL will provide a reason for that suspension as soon as reasonably possible if requested by You.\n      <\/li>\n      \n        If this Agreement is terminated, then:\n        \n          \n            the rights granted by APL to You will cease at the date of termination (except those that are mentioned in this provision that will survive termination); and\n          <\/li>\n          
\n            APL may delete Your Materials from the date of termination.\n          <\/li>\n        <\/ol>\n      <\/li>\n      
\n        Termination does not affect any rights or remedies of either parties arising under this Agreement prior to termination. Clause 3, clause 4, clause 5, clause 6, clause 7, clause 8 and clause 10 will survive termination or expiry of the Agreement.\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Indemnity\n    \n      You will indemnify APL from and against all liabilities, damages, and costs including settlement costs and legal fees arising out of any claim by third parties against APL regarding any breaches of this Agreement or any laws while using the Service including any breaches by You of a third party\u2019s intellectual property rights.\n    <\/p>\n  <\/li>\n  \n    Exclusion of warranties\n    \n      \n        The Service is provided by APL \u2018as-is\u2019. To the fullest extent permitted by law, APL makes no warranty of any kind, whether express, implied, statutory or otherwise, including without limitation, any warranty regarding ,the fitness for purpose, merchantability, non-infringement, the preservation or retrieval of Your Materials. You are responsible at all times for maintaining and backing up any of Your Materials.\n      <\/li>\n      
\n        Nothing in this Agreement operates to exclude, restrict or modify the application of any implied condition, warranty, provision, the exercise of any right or remedy, or the imposition of any liability, implied or conferred under the Australian Consumer Law or any other statute, the exclusion, restriction or modification of which would:\n        \n          \n            contravene that statute; or\n          <\/li>\n          
\n            cause any term of this Agreement to be void.\n          <\/li>\n        <\/ol>\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Limitation of Liabilities\n    \n      \n        APL will not be liable to You under this Agreement for any and all indirect, special, incidental, consequential losses, damages, costs or expenses incurred or sustained by You, including but not limited to losses, damages, costs or expenses arising out of the interruption to or unavailability of the Service, loss or corruption of data and\/or Your Material, goodwill, revenue or profits, Harmful Code or the like which may be transmitted to or through the Service by a third party (in each case whether direct or indirect), even if APL knew or should have known that such damages were possible and even if a remedy fails of its essential purpose.\n      <\/li>\n      
\n        In no event will FileSender\u2019s copyright holders or contributors be liable to You or any third parties for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of this Application, even if advised of the possibility of such damage.\n      <\/li>\n      
\n        In relation to obligations that cannot be excluded by law (other than a guarantee as to title, encumbrances or quiet possession conferred by the Australian Consumer Law), except for goods or services of a kind ordinarily acquired for personal, domestic or household use or consumption (in respect of which APL's liability is not so limited under this agreement), APL's liability to You for a failure to comply with any such obligation is limited to:\n        \n          \n            in the case of the services, supplying the services again; and\n          <\/li>\n          
\n            in the case of goods, replacing the goods, supplying equivalent goods or repairing the goods, or payment of the cost of replacing the goods, supplying equivalent goods or having the goods repaired.\n          <\/li>\n        <\/ol>\n      <\/li>\n      
\n        If APL reasonably believes FileSender infringes or may be alleged to infringe a third party\u2019s intellectual property rights, then APL may:\n        \n          \n            obtain the right for You, at APL\u2019s expense, to continue using the Service;\n          <\/li>\n          
\n            provide a non-infringing functionally equivalent replacement; or\n          <\/li>\n          
\n            modify the Service so that it is no longer infringing.\n          <\/li>\n        <\/ol>\n        If APL does not believe the options described in this section are commercially reasonable then APL may suspend or terminate your use of the affected Service.\n      <\/li>\n      
\n        To the extent permitted by law, APL\u2019s total liability to You arising out of all claims, suits, demands, actions or proceedings or loss or damages suffered or incurred by You arising out of this Agreement and\/or the Service, will not exceed AUD 1,000.\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Disputes\n    \n      \n        Before commencing legal proceedings the parties agree to make good faith efforts to resolve the dispute by contracting the other party through the notice procedure in clause (10)(e). If a dispute is not resolved within 30 days of notice, You or APL may commence formal proceedings.\n      <\/li>\n      
\n        Within 7 days after receiving a notice of dispute, the parties shall confer at least once to attempt to resolve the dispute. At every such conference APL will be represented by a person having authority to agree to such resolution. The parties may invite their respective legal advisors to attend the conference. All aspects of every such conference except the fact of occurrence, shall be subject to without prejudice privilege.\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Miscellaneous\n    \n      \n        APL may revise the terms of this Agreement from time to time. If a revision, in APL\u2019s sole discretion, is material, APL will notify You either by sending it an email associated with the Account, notifying you on your next use of the Service, or by posting information on the APL website. By continuing to use the Service after any variations or modification become effective, You agree to be bound by the revised Agreement. If You do not agree to the revised Agreement terms, You may terminate the Agreement under clause 5(c).\n      <\/li>\n      
\n        This Agreement constitutes the entire agreement between You and APL with respect to the subject matter of this Agreement and supersedes and replaces any prior or contemporaneous understandings and agreements, whether written or oral.\n      <\/li>\n      
\n        This Agreement will be governed by the laws of New South Wales and the parties submit to the non-exclusive jurisdiction of the courts of the State of New South Wales, and any courts with appellate jurisdiction over such courts.\n      <\/li>\n      
\n        If a provision, or part of a provision, is, or is found to be, void or unenforceable that provision (or part of that provision, as the case may be) will be severed from the agreement, and this agreement will, to the extent practicable, be construed as if that provision, or part of a provision, did not form part of this Agreement.\n      <\/li>\n      
\n        Notices to You will be sent by APL by email (if practicable) to the address associated with the Account. Notices sent by email will be deemed to be received when the email message enters the electronic system of the recipient.\n      <\/li>\n      
\n        A waiver of a right or remedy under this Agreement by a party will not be effective or binding against that party unless it is in writing and signed by that party.\n      <\/li>\n      
\n        The waiver, or failure of a party at any time to require performance, of an obligation under this agreement is not a waiver of that party\u2019s right:\n        \n          \n            to insist on performance of, or claim damages for breach of, that obligation in the future; and\n          <\/li>\n          
\n            at any other time to require performance of any other obligation under this Agreement.\n          <\/li>\n        <\/ol>\n      <\/li>\n      
\n        You may not assign or transfer this Agreement or any rights or obligations under this Agreement without the prior written consent of APL.\n      <\/li>\n      
\n        By entering into this Agreement the parties remain independent contractors. No other legal relationship, such as and not limited to, a partnership, agency or employment relationship are formed as a result of the Agreement.\n      <\/li>\n      
\n        Neither APL nor You are liable to each other for inadequate performance or failure of performance due to an event or condition beyond the party\u2019s reasonable control (for example and not limited to war, terrorism, inclement weather, labour disputes, latent software or hardware issues, government action, riot, natural disaster).\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Definitions\n    \n      In this Agreement\n    <\/div>\n    \n      AAF<\/b> means the Australian Access Federation (or such organisation or body which may replace it in effect from time to time).\n    <\/div>\n    \n      AARNET<\/b> means the Australian Academic and Research Network comprising the APL-managed State and Territory networks within Australia, connected to each other and to other networks nationally and internationally.\n    <\/div>\n    \n      Account<\/b> means your FileSender account.\n    <\/div>\n    \n      Application<\/b> means the computer application which forms part of the Service, and through which the Service may be accessed and used.\n    <\/div>\n    \n      Australian Consumer Law<\/b> means Schedule 2 to the Competition and Consumer Act 2010 (Cth).\n    <\/div>\n    \n      Content Policy<\/b> refers to:\n      \n        \n          the Policy relating to material accessible through APL\u2019s Networks (in effect from time to time) which may be accessed from the APL website and includes any changes or updates to that policy; or\n        <\/li>\n

You may not enter into this Agreement on behalf of any trust, partnership, body corporate, entity or incorporated association.\n      <\/li>\n      
\n        You may only enter into this Agreement and receive the Service if:\n        \n          \n            You have an email address issued by an Organisation; or\n          <\/li>\n          
\n            You an employee of a party that is involved in a research collaboration or project of an Organisation and You are actively involved in the collaboration or project\n            \n            (Criteria).<\/b>\n          <\/li>\n        <\/ol>\n      <\/li>\n      
\n        The Agreement will be effective as of the date that you click to accept these terms and conditions.\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Service\n    \n      \n        APL will provide the Service to You and You may access and use the Service in accordance with this Agreement. Your use of the Service includes issuing vouchers to third parties to send You files via the Application. You are responsible for each third party\u2019s use of the Service who is authorised by You. You must not issue a voucher to a person under 16 years of age.\n      <\/li>\n      
\n        You must have an Account to use the Service and You are responsible for the information provided to create the Account. You must not share your login details for the Account with any other person and at all times keep confidential and secure, your login details. If You become aware of any unauthorised use of your login details and\/or access to your Account, you must notify APL as soon as possible. APL is not obliged to provide You with a new Account.\n      <\/li>\n      
\n        As a condition of entering into this Agreement, You must provide and maintain a valid email address associated with your Account that is regularly monitored for the purpose of receiving communications from APL. You agree that APL will use this email address for the purpose of sending all communications under this Agreement. It is your responsibility to inform APL of any changes to the email address.\n      <\/li>\n      
\n        APL may modify the Service from time to time. If You do not accept the modifications to the Service, You may stop using the Service and terminate this Agreement under clause 5.\n      <\/li>\n      
\n        The Service may be unavailable from time-to-time. APL will not be liable for any disruption or loss You may suffer as a result of a planned or unscheduled outage. In the event of an outage, You may not be able to access any of Your Materials.\n      <\/li>\n      
\n        The Service involves temporary storage of Your Materials for a limited period. You may use the default period (as determined by APL from time to time) or select a shorter period in which Your Materials will be accessible to third parties (Accessibility Period).<\/b> The Service is not a data storage service, and You must not use the Service as such. You acknowledge that APL does not back up Your data. You must use alternative means to store your data. You acknowledge and understand that Your Materials will be deleted at the end of the Accessibility Period and APL will be unable to provide you with a copy of Your Materials after the Accessibility Period has expired.\n      <\/li>\n      
\n        APL does not make any representations or warranties, whether express or implied about:\n        \n          \n            the security and safety of the Service;\n          <\/li>\n          
\n            the suitability of the Service for your requirements or for the use or storage of confidential or sensitive personal identifying information; or\n          <\/li>\n          
\n            that Your Materials will not be lost or corrupted during Your use of the Service;\n          <\/li>\n        <\/ol>\n        and to the extent permitted by law, expressly excludes any liability, howsoever arising, regarding the loss or corruption of Your Materials or the storage of Your Materials. You agree that the use of the Service is at your risk.\n      <\/li>\n      
\n        You expressly agree to comply with APL\u2019s Content Policy as if You were the \u201cCustomer\u201d as set out in that policy. In particular, You agree that You will not, and will not allow, the Service to be accessed and\/or used, or be allowed to be accessed and\/or used:\n        \n          \n            in a manner that breaches section 2.1 of the Content Policy;\n          <\/li>\n          
\n            to infringe another person\u2019s rights (including that person\u2019s intellectual property rights);\n          <\/li>\n          
\n            to store, publish, communicate or transmit Materials that were obtained or procured by You illegally or unlawfully;\n          <\/li>\n          
\n            to store, communicate or transmit any Harmful Code;\n          <\/li>\n          
\n            to transmit, publish or communicate any defamatory, offensive, abusive, indecent or menacing Material; or\n          <\/li>\n          
\n            to violate or infringe any duty or obligation owed to any person under law.\n          <\/li>\n        <\/ol>\n        You expressly agree that you have or you have obtained all required consents, authorisations and the like for any materials you transmit or store on the Service.\n      <\/li>\n      
\n        Should You breach clause 2(h), APL may take any action it deems reasonable, including but not limited to, deletion of all or some of Your Materials as well as your Account. APL may in its absolute discretion, report You to Your Organisation or law enforcement authorities.\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Intellectual Property Rights\n    \n      \n        All intellectual property rights, title and interest in 'FileSender' are the property of AARNet Pty Ltd, Belnet, HEAnet Limited, SURFnet, UNINETT AS.\n      <\/li>\n      
\n        Neither the name of AARNet Pty Ltd, Belnet, HEAnet Limtied, SURFnet and UNINETT AS nor the names of its contributors may be used to endorse or promote products derived from FileSender without specific prior written permission.\n      <\/li>\n      
\n        Except as expressly otherwise mentioned, this Agreement does not grant:\n        \n          \n            APL or any third party any intellectual property rights in Your Materials; and\n          <\/li>\n          
\n            You any intellectual property rights in FileSender or the Application.\n          <\/li>\n        <\/ol>\n      <\/li>\n      
\n        APL will not access Your Materials except as required by law.\n      <\/li>\n      
\n        You warrant that You have all rights to use, copy and transmit Your Material.\n      <\/li>\n      
\n        You must not, and must not permit any third party to:\n        \n          \n            circumvent or bypass any technological protection measures in or relating to the Service;\n          <\/li>\n          
\n            disassemble, decompile, decrypt, hack, reverse engineer or emulate any aspect of the Service or Application;\n          <\/li>\n          
\n            publish, rent, copy, lease, sell, export, import, distribute, or lend the Service, unless APL expressly authorises You to do so;\n          <\/li>\n          
\n            transfer any rights to access or use the Service unless APL expressly authorises You to do so; or\n          <\/li>\n          
\n            use the Service in an authorised way that could interfere with anyone else\u2019s use of the Service or access to any service, data, account, or network.\n          <\/li>\n        <\/ol>\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Privacy\n    \n      \n        APL collects your Personal Information in order to provide you with the Service and communicate any changes to the Service and any other products and services that we think may be of interest to you. We may disclose the Personal Information we collect about You to the Organisation through whom you become eligible to access the Service or as required by law. APL\u2019s Privacy Policy can be found at https:\/\/www.aarnet.edu.au\/about-us\/policies\/<\/a> and it also explains how to seek access to and request correction of the Personal Information we hold about You, how to make a complaint, and how we handle complaints. If You choose not to provide us with some or all of the Personal Information we request about You, You may not be able to log in or access the Service.\n      <\/li>\n      
\n        You further acknowledge that APL stores such Personal Information solely as a data processer in order to provide the Service to You and You maintain effective control of any Personal Information contained in Your Materials.\n      <\/li>\n      
\n        APL does not warrant that the Service is suitable for sending highly sensitive or personally identifiable information and the Service must not be used for sending such information.\n      <\/li>\n      
\n        You consent to APL retaining information relating to personal information data transactions should APL be required under domestic and\/or international law to retain such information. Should you be subject to international law, APL will comply with any request to remove or delete your personal information in line with relevant legislative requirements in effect from time to time.\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Term and Termination\n    \n      \n        This Agreement will remain in effect until the Agreement is terminated under this clause 5 or under any other clause of this Agreement or if You are no longer authorised under AAF.\n      <\/li>\n      \n        APL may terminate this Agreement immediately if:\n        \n          \n            You are in breach of the Agreement and fail to remedy that breach within 10 days of receipt of written notification from APL;\n          <\/li>\n          
\n            You have breached clauses 1(b), 2(h) and 3(e);\n          <\/li>\n          
\n            You have been inactive for 365 days.\n          <\/li>\n        <\/ol>\n      <\/li>\n      
\n        You may terminate this Agreement by sending a request to APL to delete Your Account. APL may terminate this Agreement by providing You with 14 days\u2019 written notice or if Your account has been inactive for 365 days (or such other time as APL reasonably determines in its sole discretion).\n      <\/li>\n      \n        APL may also suspend your use of the Service in the event:\n        \n          \n            your use of the Service could disrupt the Service or other users use of the Service, the AARNet or servers used to provide the Service;\n          <\/li>\n          
\n            of a third party claim that any part of Your Materials infringes the intellectual property rights of a third party;\n          <\/li>\n          
\n            in the event of any security concerns regarding the Service; or\n          <\/li>\n          
\n            unauthorised third party access to the Service.\n          <\/li>\n        <\/ol>\n        If APL suspends the Service for any reason without prior notice to You, APL will provide a reason for that suspension as soon as reasonably possible if requested by You.\n      <\/li>\n      \n        If this Agreement is terminated, then:\n        \n          \n            the rights granted by APL to You will cease at the date of termination (except those that are mentioned in this provision that will survive termination); and\n          <\/li>\n          
\n            APL may delete Your Materials from the date of termination.\n          <\/li>\n        <\/ol>\n      <\/li>\n      
\n        Termination does not affect any rights or remedies of either parties arising under this Agreement prior to termination. Clause 3, clause 4, clause 5, clause 6, clause 7, clause 8 and clause 10 will survive termination or expiry of the Agreement.\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Indemnity\n    \n      You will indemnify APL from and against all liabilities, damages, and costs including settlement costs and legal fees arising out of any claim by third parties against APL regarding any breaches of this Agreement or any laws while using the Service including any breaches by You of a third party\u2019s intellectual property rights.\n    <\/p>\n  <\/li>\n  \n    Exclusion of warranties\n    \n      \n        The Service is provided by APL \u2018as-is\u2019. To the fullest extent permitted by law, APL makes no warranty of any kind, whether express, implied, statutory or otherwise, including without limitation, any warranty regarding ,the fitness for purpose, merchantability, non-infringement, the preservation or retrieval of Your Materials. You are responsible at all times for maintaining and backing up any of Your Materials.\n      <\/li>\n      
\n        Nothing in this Agreement operates to exclude, restrict or modify the application of any implied condition, warranty, provision, the exercise of any right or remedy, or the imposition of any liability, implied or conferred under the Australian Consumer Law or any other statute, the exclusion, restriction or modification of which would:\n        \n          \n            contravene that statute; or\n          <\/li>\n          
\n            cause any term of this Agreement to be void.\n          <\/li>\n        <\/ol>\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Limitation of Liabilities\n    \n      \n        APL will not be liable to You under this Agreement for any and all indirect, special, incidental, consequential losses, damages, costs or expenses incurred or sustained by You, including but not limited to losses, damages, costs or expenses arising out of the interruption to or unavailability of the Service, loss or corruption of data and\/or Your Material, goodwill, revenue or profits, Harmful Code or the like which may be transmitted to or through the Service by a third party (in each case whether direct or indirect), even if APL knew or should have known that such damages were possible and even if a remedy fails of its essential purpose.\n      <\/li>\n      
\n        In no event will FileSender\u2019s copyright holders or contributors be liable to You or any third parties for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of this Application, even if advised of the possibility of such damage.\n      <\/li>\n      
\n        In relation to obligations that cannot be excluded by law (other than a guarantee as to title, encumbrances or quiet possession conferred by the Australian Consumer Law), except for goods or services of a kind ordinarily acquired for personal, domestic or household use or consumption (in respect of which APL's liability is not so limited under this agreement), APL's liability to You for a failure to comply with any such obligation is limited to:\n        \n          \n            in the case of the services, supplying the services again; and\n          <\/li>\n          
\n            in the case of goods, replacing the goods, supplying equivalent goods or repairing the goods, or payment of the cost of replacing the goods, supplying equivalent goods or having the goods repaired.\n          <\/li>\n        <\/ol>\n      <\/li>\n      
\n        If APL reasonably believes FileSender infringes or may be alleged to infringe a third party\u2019s intellectual property rights, then APL may:\n        \n          \n            obtain the right for You, at APL\u2019s expense, to continue using the Service;\n          <\/li>\n          
\n            provide a non-infringing functionally equivalent replacement; or\n          <\/li>\n          
\n            modify the Service so that it is no longer infringing.\n          <\/li>\n        <\/ol>\n        If APL does not believe the options described in this section are commercially reasonable then APL may suspend or terminate your use of the affected Service.\n      <\/li>\n      
\n        To the extent permitted by law, APL\u2019s total liability to You arising out of all claims, suits, demands, actions or proceedings or loss or damages suffered or incurred by You arising out of this Agreement and\/or the Service, will not exceed AUD 1,000.\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Disputes\n    \n      \n        Before commencing legal proceedings the parties agree to make good faith efforts to resolve the dispute by contracting the other party through the notice procedure in clause (10)(e). If a dispute is not resolved within 30 days of notice, You or APL may commence formal proceedings.\n      <\/li>\n      
\n        Within 7 days after receiving a notice of dispute, the parties shall confer at least once to attempt to resolve the dispute. At every such conference APL will be represented by a person having authority to agree to such resolution. The parties may invite their respective legal advisors to attend the conference. All aspects of every such conference except the fact of occurrence, shall be subject to without prejudice privilege.\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Miscellaneous\n    \n      \n        APL may revise the terms of this Agreement from time to time. If a revision, in APL\u2019s sole discretion, is material, APL will notify You either by sending it an email associated with the Account, notifying you on your next use of the Service, or by posting information on the APL website. By continuing to use the Service after any variations or modification become effective, You agree to be bound by the revised Agreement. If You do not agree to the revised Agreement terms, You may terminate the Agreement under clause 5(c).\n      <\/li>\n      
\n        This Agreement constitutes the entire agreement between You and APL with respect to the subject matter of this Agreement and supersedes and replaces any prior or contemporaneous understandings and agreements, whether written or oral.\n      <\/li>\n      
\n        This Agreement will be governed by the laws of New South Wales and the parties submit to the non-exclusive jurisdiction of the courts of the State of New South Wales, and any courts with appellate jurisdiction over such courts.\n      <\/li>\n      
\n        If a provision, or part of a provision, is, or is found to be, void or unenforceable that provision (or part of that provision, as the case may be) will be severed from the agreement, and this agreement will, to the extent practicable, be construed as if that provision, or part of a provision, did not form part of this Agreement.\n      <\/li>\n      
\n        Notices to You will be sent by APL by email (if practicable) to the address associated with the Account. Notices sent by email will be deemed to be received when the email message enters the electronic system of the recipient.\n      <\/li>\n      
\n        A waiver of a right or remedy under this Agreement by a party will not be effective or binding against that party unless it is in writing and signed by that party.\n      <\/li>\n      
\n        The waiver, or failure of a party at any time to require performance, of an obligation under this agreement is not a waiver of that party\u2019s right:\n        \n          \n            to insist on performance of, or claim damages for breach of, that obligation in the future; and\n          <\/li>\n          
\n            at any other time to require performance of any other obligation under this Agreement.\n          <\/li>\n        <\/ol>\n      <\/li>\n      
\n        You may not assign or transfer this Agreement or any rights or obligations under this Agreement without the prior written consent of APL.\n      <\/li>\n      
\n        By entering into this Agreement the parties remain independent contractors. No other legal relationship, such as and not limited to, a partnership, agency or employment relationship are formed as a result of the Agreement.\n      <\/li>\n      
\n        Neither APL nor You are liable to each other for inadequate performance or failure of performance due to an event or condition beyond the party\u2019s reasonable control (for example and not limited to war, terrorism, inclement weather, labour disputes, latent software or hardware issues, government action, riot, natural disaster).\n      <\/li>\n    <\/ol>\n  <\/li>\n  
\n    Definitions\n    \n      In this Agreement\n    <\/div>\n    \n      AAF<\/b> means the Australian Access Federation (or such organisation or body which may replace it in effect from time to time).\n    <\/div>\n    \n      AARNET<\/b> means the Australian Academic and Research Network comprising the APL-managed State and Territory networks within Australia, connected to each other and to other networks nationally and internationally.\n    <\/div>\n    \n      Account<\/b> means your FileSender account.\n    <\/div>\n    \n      Application<\/b> means the computer application which forms part of the Service, and through which the Service may be accessed and used.\n    <\/div>\n    \n      Australian Consumer Law<\/b> means Schedule 2 to the Competition and Consumer Act 2010 (Cth).\n    <\/div>\n    \n      Content Policy<\/b> refers to:\n      \n        \n          the Policy relating to material accessible through APL\u2019s Networks (in effect from time to time) which may be accessed from the APL website and includes any changes or updates to that policy; or\n        <\/li>\n
